Terms of Service

These terms are an agreement between Smart Haul LLC ("we", "us") and the company that opens an account for Transload Ops (the "Service"), a web application for running warehouse, transload and storage operations. The person who signs up accepts these terms for that company and confirms that they are allowed to do so. In these terms, "you" means that company.
If you have a separate signed agreement with us, that agreement applies wherever it differs from these terms.
1. Accounts and users
- You decide who gets access to your account: your staff, and, if you choose, your own customers through the customer portal and truck drivers through appointment links. You are responsible for everything done under your account and for the people you give access to.
- Keep passwords, two-step verification codes, API keys and webhook secrets private. Tell us at once at info@smarthaul.net if you think someone has used your account without permission.
- The information you give us when you sign up must be accurate, and you must keep it up to date.
2. Free trial and subscription
- A company that signs up on the website starts with a free trial. The length of the trial is shown at sign-up. No payment card is needed to start one.
- To keep using the Service after the trial, an admin subscribes on the Subscription page. The price is shown on the payment page before you pay. Payments are processed by Stripe; we never see or store your full card number.
- A subscription renews automatically each billing period until it is cancelled. You can cancel at any time from Manage billing. Cancellation takes effect at the end of the period you have already paid for. We do not refund partial periods unless the law requires it.
- If a payment fails, you have 7 days to update the card. After that, or when a trial ends without a subscription, your account is locked: your people see only the Subscription page, and your API keys stop working. Your data is not deleted because of this, and everything opens again once the subscription is paid.
- We may change the price for future billing periods. We will tell you at least 30 days in advance, and the change applies from your next renewal after that notice.
- Prices do not include taxes. You are responsible for any taxes that apply to your subscription, other than taxes on our income.
3. Your data
- Everything you and your users put into the Service is yours: customers, receipts, inventory, photos, signatures, documents, invoices and the rest ("Your Data"). We claim no ownership of it.
- You give us permission to store, copy, process and transmit Your Data only as needed to run the Service for you, to keep it secure, to provide support, and as the law requires. We do not sell Your Data and do not use it for advertising.
- You can download your data from the Service at any time (for example inventory, reports and documents as CSV and PDF files). For 30 days after your account closes, we will provide an export of Your Data on request.
- You are responsible for having the right to put Your Data into the Service, including personal information about your staff, your customers and drivers. Our privacy policy explains how we handle personal information.
4. Your warehouse operations
The Service is software. We are not a warehouse, a carrier or a broker, and we never take custody of, control or responsibility for any goods. In particular:
- Warehouse receipts, bills of lading, labels, invoices and other documents the Service produces are your documents, made from the information you enter. You are responsible for checking that they are correct and for how you use them.
- Your own warehouse terms, contracts and rates govern your relationship with your customers, drivers and carriers. We are not a party to them.
- You are responsible for complying with the laws that apply to your operations, including rules for storage, handling, customs, food, hazardous materials and record keeping.
5. Connections to other systems
- If you switch on the connection to the Smart Haul transportation management system, the Service sends shipment and truck requests to it and receives status updates back, as described in the app settings. You can switch it off at any time.
- If you create API keys or webhooks, the Service sends data to the systems and web addresses you or your customers choose. You are responsible for those systems and for who receives the data.
- Third-party services (such as Stripe or your email provider) are governed by their own terms.
6. Acceptable use
You must not, and must not let anyone else:
- use the Service for anything unlawful, fraudulent or harmful, or to store content you have no right to store;
- try to reach another company's data, get around access controls, rate limits or the subscription lock, or probe, scan or test the Service for vulnerabilities without our written permission;
- overload the Service, including with automated requests beyond reasonable use of the API;
- copy, resell or rent the Service, or reverse engineer it except where the law allows that despite this term;
- upload malware or anything designed to harm the Service or its users.
7. Availability, support and changes
- We work to keep the Service available and secure and to back up data every day, but we do not promise that it will be uninterrupted or free of errors. We may take it offline briefly for maintenance.
- Support is by email at info@smarthaul.net.
- We improve the Service over time and may add, change or remove features. If we remove a feature you rely on in a way that materially reduces the Service, we will tell you in advance where we reasonably can.
8. Confidentiality
Each side will keep the other's non-public business information confidential, use it only for this agreement, and protect it with at least reasonable care. This does not apply to information that is public, was already known, is received lawfully from someone else, or must be disclosed by law (with notice to the other side where the law allows).
9. Suspension and ending the agreement
- You can stop using the Service and cancel your subscription at any time. To have your account closed and its data deleted, write to us.
- We may suspend access, after notice where reasonably possible, if an account breaks these terms, puts the Service or other customers at risk, or is unpaid as described in section 2. We may end this agreement with 30 days' notice, or at once if you materially break these terms and do not fix the problem within 10 days of our notice.
- After an account closes, we delete Your Data from the live system within 60 days, after the export period in section 3. Copies in backups are overwritten on their normal schedule.
- Sections 3, 4, 8, 10, 11, 12 and 13 continue after the agreement ends, as do any amounts already owed.
10. Disclaimer
Except as expressly stated in these terms, the Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.
11. Limitation of liability
To the fullest extent the law allows:
- neither side is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or goodwill, even if it was told they were possible;
- we are not liable for loss of or damage to goods, freight, equipment or vehicles, or for delays in their handling or transport;
- our total liability under this agreement is limited to the amount you paid us for the Service in the 12 months before the event that gave rise to the claim.
These limits do not apply to your payment obligations or to liability that cannot be limited by law.
12. Indemnity
You will defend and indemnify us against third-party claims arising from Your Data, your warehouse operations, or your or your users' breach of these terms, including reasonable legal fees.
13. General
- These terms are governed by the laws of the State of Illinois, USA, without regard to its conflict-of-laws rules. Disputes go to the state or federal courts located in Illinois, and both sides accept their jurisdiction.
- We may update these terms. If a change is material, we will tell account admins by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the new terms. The version in force is always at this address.
- Neither side is responsible for delays caused by events beyond its reasonable control.
- You may not transfer this agreement without our written consent, except to a company that takes over your business. We may transfer it to a company that takes over ours.
- If any part of these terms cannot be enforced, the rest stays in effect. Not enforcing a term is not a waiver of it.
- These terms, together with the privacy policy and any signed agreement, are the whole agreement about the Service.
